ROOFING SOURCE — ANTI-CIRCUMVENTION AGREEMENT

This agreement forms part of the Terms and Conditions for all user types on the Roofing Source platform.

PURPOSE

This agreement exists to protect the integrity of the Roofing Source platform and to ensure that all parties benefit fairly from introductions made through it.

THE RESTRICTION

By registering on the Roofing Source platform, all users — whether Operative, Hirer or Subcontractor — agree that:

1. They will not directly or indirectly engage, employ, contract with, or facilitate work between any party they were introduced to through Roofing Source outside of the platform for a period of 6 months from the date of the most recent introduction, placement or contract involving those parties.

2. This restriction applies regardless of how the off-platform engagement is arranged — whether directly, through a third party, through a separate company, or through any other means designed to circumvent the platform.

3. This restriction applies to all introductions made through the platform whether or not a placement or contract was ultimately completed.

BREACH AND PENALTIES

A breach of this agreement will result in:

1. Immediate suspension and permanent removal from the platform.

2. Liability to pay Trade Source Group the full platform fee that would have been applicable had the engagement been made through the platform.

3. An additional penalty of £500 per operative per breach.

4. The Company reserves the right to pursue further legal action to recover losses arising from the breach.

SURVIVAL

This agreement survives the termination or closure of any user account. The 6 month restriction period runs from the date of last introduction or placement, not from the date of account closure.

GOVERNING LAW

This agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
