1. ABOUT THESE TERMS

1.1 These Terms and Conditions govern your use of the Roofing Source platform as an Operative. By completing the signup process and ticking the acceptance checkbox, you confirm that you have read, understood and agree to be bound by these terms in full.

1.2 These terms form a legally binding agreement between you (the Operative) and Trade Source Group (the Company). If you do not agree to these terms you must not use the platform.

1.3 We may update these terms from time to time. You will be notified of any material changes by email. Continued use of the platform after notification constitutes acceptance of the updated terms.

2. DEFINITIONS

2.1 Platform means the Roofing Source website, application and all associated services.

2.2 Operative means an individual roofing professional registered on the platform seeking work placements.

2.3 Hirer means a company registered on the platform seeking to engage operatives.

2.4 Placement means a period of work arranged through the platform between an Operative and a Hirer.

2.5 Day Rate means the daily fee agreed between the Operative and Hirer for a placement.

2.6 Platform Fee means the fee charged by the Company to the Hirer for facilitating the introduction.

3. ELIGIBILITY

3.1 You must be at least 18 years of age to register as an Operative.

3.2 You must be legally entitled to work in the United Kingdom.

3.3 You must be operating as a self-employed individual or through your own limited company. Roofing Source does not engage employees.

3.4 You must hold any qualifications, certifications and cards that you declare on your profile. The Company reserves the right to verify any declared qualifications at any time.

3.5 You must not register more than one Operative account. Duplicate accounts will be removed without notice.

4. YOUR STATUS AS SELF-EMPLOYED

4.1 You confirm that you are self-employed and operating as an independent contractor. Nothing in these terms or in the operation of the platform creates or implies any employment relationship, agency relationship, or worker status between you and Trade Source Group.

4.2 Roofing Source is an introduction service only. The Company introduces Operatives to Hirers but is not party to any contract for services between them.

4.3 You are solely responsible for your own tax affairs including income tax and National Insurance contributions. The Company accepts no liability for your tax position.

4.4 You are responsible for maintaining your own public liability insurance, tools insurance and any other insurance appropriate to your work.

4.5 The Construction Industry Scheme (CIS) applies to payments made between Hirers and Operatives where applicable. It is your responsibility to understand and comply with your CIS obligations.

5. YOUR PROFILE

5.1 You are responsible for ensuring that all information on your profile is accurate, complete and up to date.

5.2 You must not misrepresent your skills, qualifications, experience or availability.

5.3 The Company reserves the right to verify any information on your profile and to remove or suspend your account if false or misleading information is found.

5.4 Your profile will be partially visible to the public for SEO purposes. Full profile details will only be visible to verified Hirers who are logged in.

5.5 You grant the Company a non-exclusive licence to display your profile information on the platform for the purpose of facilitating introductions.

6. AVAILABILITY AND THE ACTIVE TOGGLE

6.1 You are responsible for keeping your availability status accurate at all times using the Active toggle on your profile.

6.2 Setting your status to Active indicates that you are available for placements. You must not set your status to Active if you are not genuinely available.

6.3 Repeatedly accepting and then withdrawing from placements may result in suspension or removal from the platform.

7. PLACEMENTS

7.1 When a Hirer selects you for a placement, you will be notified through the platform.

7.2 Acceptance of a placement constitutes an agreement between you and the Hirer for the provision of your services for the agreed duration and day rate.

7.3 You are responsible for arriving on time, conducting yourself professionally, and completing the work to the agreed standard.

7.4 Any disputes regarding the quality or completion of work are between you and the Hirer. The Company acts as an introduction service only and is not liable for such disputes.

8. PAYMENTS

8.1 Payments for placements are processed through the platform via Stripe Connect.

8.2 You will receive your full agreed Day Rate. The Platform Fee is charged to the Hirer separately and does not reduce your Day Rate.

8.3 Payment timelines are subject to Stripe processing times. The Company is not responsible for delays caused by payment processors.

8.4 In the event of a payment dispute, you must raise the matter through the platform dispute resolution process.

9. RATINGS

9.1 Following each placement, Hirers may submit a rating covering the following categories: Punctuality, Work Standard, Attitude, Communication, Site Safety and Would Rehire.

9.2 You may also rate Hirers following a placement.

9.3 All ratings are final once submitted. The Company reserves the right to remove ratings that are found to be fraudulent, abusive or in breach of these terms.

9.4 If your average rating falls below 3.2 across a minimum of 5 reviews, your account will be automatically suspended pending review.

9.5 You must not attempt to manipulate the ratings system in any way.

10. ANTI-CIRCUMVENTION

10.1 You must not contact, engage with, or accept work from any Hirer that you were introduced to through the platform outside of the platform for a period of 6 months from the date of your most recent placement or introduction with that Hirer.

10.2 This restriction applies whether work is offered directly, through a third party, or through any other arrangement that bypasses the platform.

10.3 A breach of this clause will result in immediate removal from the platform and you will be liable to pay the Company the full platform fee that would have been payable had the engagement been made through the platform, plus a penalty of £500 per operative per breach.

10.4 This clause survives termination of your account.

11. MESSAGING AND CONTACT DETAILS

11.1 All communication between Operatives and Hirers must take place through the platform in-platform messaging system.

11.2 You must not share personal contact details including phone numbers, email addresses or social media profiles with Hirers through the platform.

11.3 All messages sent through the platform are logged and stored. The Company reserves the right to review messages where there is reason to believe these terms are being breached.

12. CONDUCT

12.1 You must conduct yourself professionally at all times when representing yourself on the platform and when on placement.

12.2 You must not use the platform for any unlawful purpose.

12.3 You must not post offensive, discriminatory or abusive content on the platform.

12.4 You must comply with all relevant health and safety legislation and site rules during placements.

12.5 The Company reserves the right to suspend or permanently ban any Operative account at its sole discretion with immediate effect.

13. LIMITATION OF LIABILITY

13.1 The Company provides the platform as an introduction service only and accepts no liability for the actions, conduct or performance of any Hirer.

13.2 The Company total liability to you in connection with the platform shall not exceed the total platform fees paid in the 12 months preceding the claim.

13.3 The Company is not liable for any loss of earnings, loss of opportunity or consequential loss arising from your use of the platform.

13.4 Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded by law.

14. TERMINATION

14.1 You may close your account at any time by contacting the Company.

14.2 The Company may suspend or terminate your account at any time for breach of these terms, fraudulent activity, or conduct detrimental to the platform or its users.

14.3 Upon termination, the anti-circumvention clause in section 10 continues to apply for the full 6 month period from your last introduction or placement.

15. GOVERNING LAW

15.1 These terms are governed by the laws of England and Wales.

15.2 Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
