1. ABOUT THESE TERMS

1.1 These Terms and Conditions govern your use of the Roofing Source platform as a Subcontractor. By completing signup and ticking the acceptance checkbox you confirm that you have read, understood and agree to be bound by these terms.

1.2 These terms form a legally binding agreement between you (the Subcontractor) and Trade Source Group (the Company).

2. DEFINITIONS

2.1 Platform means the Roofing Source website, application and all associated services.

2.2 Subcontractor means a roofing company or team registered on the platform that takes on contracts for roofing works.

2.3 Hirer means a company registered on the platform seeking to engage subcontractors.

2.4 Contract means an agreement for roofing works between a Hirer and a Subcontractor facilitated through the platform.

2.5 Contract Value means the total agreed value of a contract between a Hirer and a Subcontractor.

2.6 Platform Fee means 5% of the Contract Value charged to the Subcontractor by the Company.

3. ELIGIBILITY

3.1 Subcontractors must be registered businesses operating in the UK roofing industry.

3.2 You must provide accurate company details on signup including your Companies House registration number and VAT number where applicable.

3.3 You must have the capacity, skills and insurance to fulfil any contracts you accept through the platform.

4. NATURE OF THE SERVICE

4.1 Roofing Source is an introduction and tendering service. The Company facilitates introductions between Hirers and Subcontractors and provides access to the subcontractor tender board.

4.2 The Company is not a party to any contract for services between Hirers and Subcontractors.

4.3 The Company makes no guarantee of the volume or value of contracts available through the platform.

5. PLATFORM FEES

5.1 The Company charges a Platform Fee of 5% of the total Contract Value on all contracts facilitated through the platform.

5.2 The Platform Fee is payable by the Subcontractor upon receipt of payment from the Hirer.

5.3 All fees are subject to VAT at the prevailing rate where applicable.

5.4 Failure to pay Platform Fees may result in suspension of your account and recovery action.

6. ANTI-CIRCUMVENTION

6.1 You must not contact, engage with, or accept contracts from any Hirer that you were introduced to through the platform outside of the platform for a period of 6 months from the date of your most recent contract or introduction with that Hirer.

6.2 A breach of this clause will result in immediate removal from the platform and you will be liable to pay the Company the full platform fee that would have been payable had the engagement been made through the platform, plus a penalty of £500 per operative per breach.

6.3 This clause survives termination of your account.

7. CONDUCT AND PERFORMANCE

7.1 You must fulfil all contracts accepted through the platform to the agreed standard and timescale.

7.2 You must maintain adequate public liability insurance and employers liability insurance at all times.

7.3 You must comply with all relevant health and safety legislation.

7.4 The Company reserves the right to suspend or permanently ban any Subcontractor account at its sole discretion with immediate effect.

8. RATINGS

8.1 Hirers may submit ratings for your company following completion of a contract.

8.2 You may also rate Hirers.

8.3 Ratings must be honest and genuine. Manipulation of the ratings system is a breach of these terms.

9. MESSAGING

9.1 All communication with Hirers must take place through the platform messaging system.

9.2 All messages are logged and stored.

10. LIMITATION OF LIABILITY

10.1 The Company total liability to you shall not exceed the total platform fees paid in the 12 months preceding the claim.

10.2 Nothing in these terms limits liability for death or personal injury caused by negligence or fraud.

11. GOVERNING LAW

11.1 These terms are governed by the laws of England and Wales.

11.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
